Terms & Conditions

These Terms and Conditions of Use (the “Agreement”) constitute a legally binding contract between you (“Client,” “you,” or “your”) and Predictica & Company, a limited liability company (“Predictica & Company,” “we,” “us,” or “our”), governing your access to and use of our website, software, consulting services, products, and any other services we offer (collectively, the “Services”).

1. Acceptance of Terms

By accessing or using any part of our Services, you accept and agree to be bound by the terms of this Agreement. If you do not agree to these terms, you must not access or use our Services.

2. Eligibility

You represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction and possess the legal authority to enter into this Agreement. You may not use our Services if you are prohibited under any applicable law or regulation.

3. Scope of Services

Predictica & Company provides business consulting, financial analytics, data analytics, machine learning solutions, Predictive Risk Modeling & Advisory, and related professional services. Specific scopes of work, deliverables, timelines, and fees shall be governed by individual written service agreements or engagement letters executed by both parties.

4. Intellectual Property

All content, software, design, text, graphics, images, trademarks, service marks, trade names, and logos (collectively, the “Content”) are the sole and exclusive property of Predictica & Company or its licensors and are protected by intellectual property laws. You are granted a non-exclusive, non-transferable, limited license to use the Content strictly in connection with your use of the Services and subject to the terms of this Agreement.

5. Confidentiality

You agree to maintain the confidentiality of all proprietary or confidential information disclosed to you by Predictica & Company in connection with the Services. Confidential Information shall not include information that (i) becomes publicly available through no fault of yours, (ii) is lawfully obtained from a third party, or (iii) is independently developed by you without reference to Confidential Information.

6. Payment Terms

All fees for Services shall be invoiced and payable in accordance with the applicable service agreement. Late payments may accrue interest at the rate of 1.5% per month or the highest rate allowed by law, whichever is lower. Predictica & Company reserves the right to suspend or terminate Services in the event of non-payment.

7. No Professional Advice

Unless otherwise expressly stated, our Services do not constitute legal, tax, accounting, or investment advice. You are solely responsible for your use of any deliverables, reports, or recommendations provided, and you should seek appropriate professional counsel for your specific situation.

8. Disclaimer of Warranties

ALL SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF INFORMATION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREDICTICA & COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR MAXIMUM LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Predictica & Company and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Services or any breach of this Agreement.

11. Termination

We reserve the right to terminate or suspend your access to our Services at any time, with or without cause or notice, including for any breach of this Agreement. Upon termination, all rights granted to you under this Agreement shall cease immediately.

12. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the states of US, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in states of US, and you hereby consent to the personal jurisdiction and venue therein.

13. Dispute Resolution

Before initiating formal legal proceedings, the parties shall attempt to resolve any dispute arising out of or relating to this Agreement through good-faith negotiation. If the dispute is not resolved within thirty (30) days, either party may proceed to litigation.

14. Modifications

We may revise and update these Terms at any time at our sole discretion. All changes are effective immediately upon posting and apply to all access and use thereafter. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of such changes.

15. Entire Agreement

This Agreement, together with any service agreements or engagement letters executed between you and Predictica & Company, constitutes the entire understanding between the parties and supersedes all prior oral or written agreements, representations, and understandings.
